IF YOU DO NOT ACCEPT THE TERMS AND CONDITIONS OF THIS END USER LICENSE AGREEMENT AND THE PRIVACY POLICY, YOU WILL NOT BE PERMITTED TO DOWNLOAD THE SOFTWARE. End User License Agreement This End User License Agreement ("Agreement") governs use of C2 Media Ltd.'s ("C2") software product known as lop.com, and related written materials (the "Software") that you are about to download. The term "Software" also includes any upgrades, modified versions or updates of the Software, which may be provided to you from time to time. A copy of the Software will be licensed to you as the registered end user. C2 PROVIDES YOU WITH THE OPPORTUNITY TO DOWNLOAD THE SOFTWARE AT NO CHARGE OR A REDUCED CHARGE IN RETURN FOR YOUR AGREEMENT TO DOWNLOAD THE SOFTWARE, WHICH WILL PROVIDE YOU WITH ADDITIONAL CONTENT, PROMOTIONAL OFFERS, ADVERTISEMENTS AND OTHER WEB BROWSER ENHANCEMENTS BASED, IN PART, ON KEYWORDS IN THE WEBSITES YOU VISIT. Before you may download and install the Software, you must agree to the terms and conditions of this Agreement. 1) You represent and warrant that you are at least 18 years of age and that you are the owner or are authorized by the owner of this computer to download and install software on this computer. Because the Software is advertising supported and provides additional content based on keywords in the websites you visit, you agree to provide a copy of C2's Privacy Policy and this Agreement to any users of this computer and obtain their consent to this Agreement and the Privacy Policy before installation of the Software, unless you can legally accept this Agreement on behalf of all other users of this computer. 2) By accepting these terms and conditions, the Software will be installed on your computer and your web browser home page and search page will be changed in order to allow access and use of the Software. You further understand that various toolbars and other enhancements such as an Accessory Toolbar, a Desktop Toolbar and a Pass-Through Toolbar may be added to your computer, including your desktop and web browser. The Accessory Toolbar will be added to your web browser and will remain visible as long as the Software is installed and the search page for your web browsers auto search option and default error page are set to a web page determined by the Software. Upon Installation of the Software and the Accessory Toolbar, any other toolbars currently visible will be deactivated, but may be manually reactivated, such as through the view menu of your web browser. If you change your home page, search page or default error page after installation of the Software, a Pass-Through Toolbar will be installed at the bottom of your web browser and shall remain active as long as the Software is installed and information related to such change, including but not limited to the web address (URL), for the new home page, search page and default error page will be sent to C2's servers or third party servers. The Software does not track the URL of any other website that you or any user visits. A Desktop Toolbar will be installed on your computer as a stand-alone module. Installation of the Software may also add bookmarks to your computer and web browser, and shortcuts to the desktop and various menus. The added bookmarks and shortcuts may be removed manually or via un-installation of the Software. If incorrect host-file entries are detected for this Software's related domain names, those entries will be removed in order for this software to function properly. 3) The use and presence of the Software is voluntary and the Software may be uninstalled at any time from your computer. The Software may be removed through a variety of methods, including going to the start menu, selecting Control Panel, Add / Remove Programs, and then selecting the Software for removal; requesting a separate installer from support@lop.com; or downloading a separate uninstaller from a website bookmarked in your web browser during installation of the Software. 4) Acceptance of this Agreement may be indicated by downloading and installing the Software. Bookmarking to a web page whereby this Agreement is by-passed shall constitute an implicit acceptance of the foregoing terms herein set forth for any copies downloaded or installed by such by-pass. You, or any user, may terminate this Agreement at any time, by removing the Software from your computer through any one of the above described methods, and destroying any other copies of the Software. 5) This Agreement shall be governed by the laws of the United Kingdom. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If any part of this Agreement is found void and unenforceable, the balance of the Agreement shall remain valid and enforceable according to its terms. You agree that the Software will not be shipped, transferred or exported into any country or used in any manner prohibited by the laws, restrictions or regulations of the United States or the laws of any other country, which may apply. This Agreement shall automatically terminate upon failure to comply with the terms and conditions and you shall immediately delete and uninstall all copies of the Software upon such termination. This Agreement may only be modified by a writing signed by an authorized officer of C2. 6) The Software may display advertisements or additional content that contain links to third party websites and such links to third party websites should not imply an endorsement or approval of C2 of the material on such third party websites. These third party websites are not under any control of C2 and C2 is not responsible for the content available on such third party websites. Accessing any such third party websites shall be at your, or the users own risk. 7) The Software is owned by C2 and its Suppliers, and is protected by United States Copyright Law and International Treaty provisions. You agree to not copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or make any other attempt to discover the source code of the Software, C2's technology and methodology for delivery of additional content, the content of any and all of C2's and Suppliers communications with the Software, or the content stored on C2's servers. You will also not rent, lease or sublicense the Software. You also agree to install the Software in a single location on a hard disk or other storage device and will only copy the Software for backup purposes and not for the purpose of using an additional copy. You agree to display all proprietary notices or copyright notices that appear on or in the Software. You agree to not access or use the Software other than through the graphical user interface provided with the Software. You agree to not make any derivative works of the Software and that any and all such modifications or enhancements to the Software are the sole property of C2 or its Suppliers. 8) C2 grants you a non-exclusive, limited license under the terms and conditions of this Agreement to only install and use the most current versions of the Software for the purposes described herein and in the Privacy Policy, including use of the Software only in the manner for which it was designed as provided in any documentation and only for personal and non-commercial purposes. You agree to not allow any use of the Software by any party who has not agreed to the terms and conditions of this Agreement. 9) C2 may from time to time, either automatically or through other means, distribute an update to the Software and/or may replace the Software with new versions, and may also modify the Software. C2 may require you to review and accept a new license agreement and C2's then current privacy policy when a new version of the Software is released and installed on your computer. The installation of new software may occur automatically or through other means. Notwithstanding the foregoing, C2 and its Suppliers and associates have no obligation to make any subsequent versions or updates of the Software available to you. 10) DISCLAIMER OF WARRANTY. THE SOFTWARE IS PROVIDED "AS-IS," "WHERE IS," WITHOUT WARRANTY OF ANY KIND, AND ANY USE OF THE SOFTWARE IS AT YOUR OWN RISK. C2 AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON- INFRINGEMENT OF THIRD PARTY RIGHTS. C2 AND ITS SUPPLIERS DO NOT AND CANNOT WARRANT THE PERFORMANCE, OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE OR DOCUMENTATION, INCLUDING BUT NOT LIMITED TO THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE CAN BE CORRECTED. 11) LIMITATION OF LIABILITY. BY ACCEPTING THESE TERMS AND CONDITIONS, YOU WILL RELEASE AND DISCHARGE C2 AND ANY OTHER PROVIDERS, OWNERS, CREATORS, DISTRIBUTORS, SUPPLIERS, BUSINESS ASSOCIATES, ADVERTISERS AND CUSTOMERS ("THE SUPPLIERS") OF THE SOFTWARE FROM ANY AND ALL LIABILITY WHICH MIGHT ARISE. IN NO EVENT SHALL C2 OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY INDIRECT DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST BUSINESS, BUSINESS INTERRUPTION, OR LOST OPPORTUNITY, OR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES OR EXEMPLARY DAMAGES INCLUDING LEGAL FEES, ARISING OUT OF THIS AGREEMENT OR C2'S PRIVACY POLICY OR YOUR INABILITY TO USE THE SOFTWARE, EVEN IF C2 OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. C2 AND ITS SUPPLIERS ALSO DISCLAIM ALL LIABILITY WITH REGARD TO YOUR VIEWING OF ANY WEBSITES THAT MAY BE LINKED FROM ANY C2 SUPPLIED MATERIAL OR ANY ADDITIONAL CONTENT PROVIDED BY THE SOFTWARE. SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES OR THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY LAST, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN ANY EVENT, C2's LIABILITY TO YOU SHALL NOT EXCEED US $10.00. 12) By downloading and installing the Software, you agree to all the terms and conditions of the C2's current Privacy Policy, attached to this Agreement. 13) During the process of accepting this Agreement, downloading the Software or using the Software, you may be offered the opportunity to download and install software from third party software vendors ("Third Party Software"). Any download or use of Third Party Software shall be governed pursuant to license agreements or other arrangements between such third party vendors and yourself and is subject to different license agreements or other arrangements. C2, in its sole discretion, may elect to sell, resell, or license any Third Party Software. C2 disclaims any responsibility for or liability related to any Third Party Software associated with the Software. Any questions, complaints, claims or other communications related to Third Party Software should be directed to the appropriate vendor. PRIVACY POLICY Your privacy is very important to C2 Media Ltd. ("C2"). C2 provides you with the software product known as lop.com (the "Software") free of charge or at a reduced cost in exchange for your agreement to accept advertising and other promotional messages delivered by C2 and third parties to your computer based in part on the keywords in the websites that you or any user of the computer visits. The additional content may include advertisements, promotions, links to third party websites or other materials delivered to your computer that match your interests, based in part on keywords found in the websites that you visit. Your interests are matched to the additional content based on keywords collected from the websites you visit. The keywords are provided to C2's servers or third party servers, which deliver the selected additional content to your computer in response to the keywords. For example if you visit a website related to travel, C2 or its Suppliers and advertisers may determine the website you are currently visiting is about traveling and present an advertisement that promotes the sale of airline tickets using various browser enhancements and pop-up windows. This Privacy Policy only applies to the Software and not to any additional third party software downloaded in conjunction with the Software or in response to additional content provided to you or a user of the computer. INFORMATION COLLECTED BY C2 C2 and the Software DO NOT COLLECT ANY PERSONALLY IDENTIFIABLE INFORMATION about you, such as your name, address, telephone number or e-mail address. C2 DOES NOT track or record the website address (URL) of websites that you visit while you browse the web. INFORMATION C2 COLLECTS INCLUDES: " Standard web log information and computer settings such as your Internet Protocol (IP) addresses, operating system, CPU speed, browser type and version, screen resolution, time zone selected and the version numbers of some of the software installed on your computer. " Information about your current web browser home page and search page settings -- this information includes the URL of your home page, default auto search page, and error pages, and how and when you selected a particular website as your home page, search page, or error page. Your web browser's home page URL, search page URL, and error page URL are the only URLs collected by the Software and the Software does not collect URLs of the other websites you visit. " Your Software ID is a numeric identifier that is generated by the Software and the Time and Date that you accepted this Agreement and Privacy Policy. This Software ID does not include any personally identifiable information, such as name, age, address, telephone number or e-mail address. " A historical record of content and advertisements delivered by the Software, and the response rate associated with the content and advertisements that was delivered to you through the Software application. " Information provided to any C2 employees, contractors, or technical support members may be stored on C2 servers in archives of C2's support and customer service department, but such information will not be associated with the information collected or stored in association with your Software ID that may be provided to third parties or the provision of additional content. " All of the above information submitted to us by your browser or the Software is considered anonymous information and to the extent we share such information with third parties, it is not traceable to any particular user and will not be used to contact you by e-mail, telephone, or mail. SOFTWARE AUTO-UPDATE The Software has both client and server-side components. The Software servers communicate with your computer frequently to ensure that you have the most recently released version of the Software. You acknowledge that C2 or parties appointed by C2 may from time to time provide programming fixes, updates and upgrades to you, including automatic updates to the Software, through automatic electronic dissemination and other means. You consent to such automatic updates and agree that this Privacy Policy will apply to all such updates. Unless explicitly stated otherwise, any new features that augment or enhance the Software application, including the release of new Software, shall be subject to terms of this Privacy Policy. SOFTWARE CONFLICTS Conflicts may occur with other software applications that may already be installed on your computer. The Software may report back to our servers what applications are running on your computer and this information will be used to help resolve these conflicts whenever possible. This will make the Software more reliable and provide you with products and services that are compatible with your current computer settings. In most cases C2 will only transmit this information back to C2's servers if a software conflict has been detected. If you are having problems with a software product you have installed you may contact C2's support department at support@lop.com for help. WHAT HAPPENS IF C2 MEDIA LTD. CHANGES ITS PRIVACY POLICY? By installing, using, or copying the Software you acknowledge that you have read, understood, given your informed consent to, and agree to be bound by this Privacy Policy. This Privacy Policy is subject to change by C2 at any time. Notice to you shall be made by adding any changes to this Privacy Policy document, which will remain posted at www.lop.com/privacy.html. You agree to review this Privacy Policy from time to time for changes and updates. Notice of any revisions to this Privacy Policy shall be considered effective when transmitted to the Software. COOKIES A cookie is a small file, often containing an anonymous unique identifier. Cookies can be sent to your browser from another computer and stored on your computer's hard drive, or they can be generated by the Software or website and can be stored on your computer. Each server in communication with your computer can store and read only its own cookie. The Software and web pages uses cookies for the following purposes: " To display the most relevant advertising based on your interests and surfing activities. " To identify the affiliate that introduced you to Software, so we know how many introductions that particular affiliate made, and how much to pay that affiliate for the introduction. " To identify which version of the Software is on your computer. SOFTWARE SECURITY MEASURES The Software uses encrypted data packets to communicate back and forth with its host server. The host server has security measures in place to attempt to prevent the loss, misuse and alteration of the information under our control. All information is for C2's accounting and registration purposes only. Only employees and affiliates of C2 and its licensor will be authorized to have access to varying degrees of this information. ////////////////////////////////////////////// - End Sponsor Software EULA - Third Party Software Licensee Agreement: AdIntelligence LLC SOFTWARE LICENSE TERMS AND CONDITIONS Please read the AdIntelligence LLC Privacy Statement and End User License Agreement ("EULA") (collectively "Terms and Conditions") carefully and make sure you understand them. They contain important information that you should know before accepting any AdIntelligence LLC Software (defined below). The AdIntelligence LLC Terms and Conditions describe the operation of the AdIntelligence LLC Software you are about to download and the terms and conditions that govern your use of this software. AdIntelligence LLC (AI) will periodically deliver advertisements and promotional messages to your computer based, in part, on your interests as shown by the websites you view. Before you may download and install these software products, you must agree to the terms and conditions described below. You may terminate these Terms and Conditions at any time by removing all AI Software from your computer by following the instructions located at: http://www.adintelligence.net/support/uninstall.html and destroying any other copies of AI Software that may have been made. Those instructions are the only authorized means to uninstall AI Software and the use of any other means may not result in the proper un-installation of AI Software. Privacy Statement Acceptance of these Terms and Conditions is required to allow AI to download and install the "AdIntelligence AdServer" software. AdIntelligence AdServer software, described in detail below, delivers AdIntelligence advertising and various informational or promotional messages to computer screens while users view Internet Web pages ("AdIntelligence Ads"). The "AdIntelligence Network" is an advertising network that delivers advertisements from the AdIntelligence Network's advertising clients to users of AdIntelligence Supported Software ("Subscribers"). The AdIntelligence AdServer technology identifies the interests of anonymous Subscribers based on their computer usage and web surfing behavior, including the URLs of Web pages viewed by Subscribers and other criteria but does not intentionally collect ANY personally identifying information. The AdIntelligence AdServer displays AdIntelligence Ads on computer screens on behalf of the AdIntelligence Network's advertising clients and not necessarily on behalf of the Web site the Subscriber may be viewing when the ad appears. In fact, the AdIntelligence Network's advertising clients may be competitors of the publishers whose Web pages Subscribers may be viewing, or may have recently viewed. The AdIntelligence Ad Server is delivered with software applications developed by other companies ("Third Party AdIntelligence-Supported Software"). Unless otherwise specified, these Terms and Conditions do not apply to Third Party AdIntelligence-Supported Software. Third-party AdIntelligence-Supported Software is governed by that third-party's legal agreements. These Terms and Conditions shall control in the event of any inconsistency between these Terms and Conditions and any prior AdIntelligence LLC terms and conditions agreed to. The Details We don't know who our users are... AI does not know the identity of AI AdServer users (AI's "Subscribers"). We do not transmit to our servers personally identifiable information like email addresses, last name, street addresses, or phone numbers. Nor do we have any other sensitive or personal financial information, such as credit card numbers, login IDs, passwords or bank account numbers. Here's what we do know... While we don't know the identity of Subscribers, the AdIntelligence AdServer and AI collect and use the following kinds of anonymous information: § Some of the Web pages viewed § The amount of time spent at some Web sites § Response to AdIntelligence Ads § Standard web log information (including IP Addresses and system settings) § What software is on the personal computer Here's what we do with it& We associate the anonymous information we collect with a particular computer through a randomly generated Anonymous ID number to accomplish the following: § Select and deliver installation files for optional new software applications; and, § Create an anonymous profile of the categories of products or services in which Subscribers appear to be interested in order to select AdIntelligence Ads to display to Subscribers' computer screens. AdIntelligence Ads may be displayed on behalf of advertisers who may be competitors of the publishers of the Web pages Subscribers are viewing or have recently viewed. Any information provided to any AI employees or contractors, such as our technical support department, may be stored on our servers in archives of our support and customer service department. This information, however, will not be associated with the information we may store and use listed above. We share anonymous aggregate information about what Web pages Subscribers view on the Internet. For example, we might tell a merchant that we have 50,000 Subscribers who buy books. We do not disclose information associated with any individual Subscriber to that merchant. We sometimes use third party contractors who may be given access to any information we have so they may perform tasks that might otherwise be done by our employees. These contractors, however, have no rights to use such information for purposes other than those described herein; and they are subject to the same restrictions as our employees. In the event that AI merges with another company, transfers or sells substantially all of its assets or capital stock to a third party, all collected information would be included in the merger, transfer or sale and that company would be bound by these Terms and Conditions just as we are bound today. If legally required to do so, we will disclose to a third party any information we have. How we distribute AdIntelligence-Supported Software and the AdIntelligence AdServer The distribution of the AdIntelligence AdServer may occur directly or through third-parties partners in several different ways including: a) by downloading software from a Web site and b) by clicking to download software from online advertising. How we display AdIntelligence Ads Many AdIntelligence Ads are displayed on computer screens on behalf of advertisers who compete with the company whose Web pages the Third-Party AdIntelligence-Supported Software user may be viewing or may have recently viewed. AI displays AdIntelligence Ads on computer screens in a variety of ways. The AdIntelligence Ad formats we may use include, among others, the following: § Pop-Up or Pop-Under Windows appear as windows on top of or beneath other windows on the computer screen. § Pop-Up Slider Windows appear as floating images on top of other windows on the computer screen. How to Stop the Display of AdIntelligence Ads To stop AdIntelligence Ads from being displayed one must remove all of the AdIntelligence-Supported Software applications residing on the computer by following the instructions set forth at http://www.adintelligence.net/support/uninstall.html. How AdIntelligence AdServer Works When running on a computer the AdIntelligence AdServer regularly communicates with AI servers, and in some cases, third party servers, among other reasons, to: 1. Maintain/Update the AdIntelligence AdServer; 2. Facilitate the installation and removal of the AdIntelligence AdServer; 3. Retrieve content and ads for display; 4. Facilitate various AdIntelligence AdServer features; 5. Collect anonymous Subscriber usage information; and/or 6. Update Subscriber information. To improve the features or functions of the AdIntelligence AdServer and/or third-party AdIntelligence-Supported Software, we may occasionally install and/or update software components, such as certain rich media player applications, browser plugins, virtual machines, and runtime environments (such as Mircosoft's .NET software or Java). These are collectively referred to herein as "Enhancement Technologies". For example, these Enhancement Technologies may be used to deliver audio and visual effects such as animation, video and sound, or to provide enhanced services such as secure coupon printing. In the event that we install on a computer Enhancement Technologies developed by a third party, that third party's privacy statement for those Enhancement Technologies will be at least as protective of privacy as AI's Privacy Statement; otherwise we will display to the computer screen a notification message describing the technology we installed with a link or reference to the applicable privacy statement, or utilize a click-through agreement to obtain user consent, as appropriate. How we use cookies and web beacons& The AdIntelligence AdServer uses cookies for the following purposes: § To identify the AdIntelligence-Supported Software on the computer; § To limit how often we display AdIntelligence Ads; and/or In order to enable certain third parties to display targeted ads and informational messages on our behalf, the AdIntelligence AdServer may read cookie information that those third parties stored on the computer. That information may be sent to our servers so that we can include it in advertisement display requests that we send to those third parties. Please note that when any third party service providers, such as ad serving companies, set and access cookies at our request, they do so in accordance with their own privacy statements. Third party service providers that serve ads to Internet users, at our request, may use web beacons. Some AdIntelligence Ads include "web beacons," which allow third party service providers to access cookies on a computer to target ads and provide campaign analysis for their clients who use our services. Some third party service providers who access cookies in this way allow Internet users to opt-out of their use of these cookies. How we use optional surveys& Subscribers who remove AI AdIntelligence-Supported Software from their computers may be asked why the software is being removed. Responding to such survey, however, is entirely optional and will not affect Subscribers' ability to remove any AI AdIntelligence-Supported Software. Changes to our Privacy Statement and End User License Agreement As we issue subsequent revisions to these Terms and Conditions that do not involve personally identifiable information, we will publish the current Terms and Conditions on our web site at http://www.adintelligence.net/license.html. AdIntelligence Software End User License Agreement This AdIntelligence Software License Agreement ("EULA") covers the software you are downloading from AdIntelligence LLC. The AdIntelligence LLC Software shall be referred to as "Licensed Materials." Licensed Materials, any Web sites owned and operated by AdIntelligence LLC, and any content available thereon shall be collectively referred to as "AdIntelligence Supplied Materials." Ownership; All Users of This Computer Bound. You represent and warrant that you are the owner of the computer and that you have authorized the download and installation of the Licensed Materials, or that the owner of the computer has authorized you to do so. You agree, with respect to all other users of the computer on which you have caused the Licensed Materials to reside, to (i) provide a copy of AdIntelligence Privacy Statement, and AdIntelligence Software End User License Agreement; and (ii) to obtain their consent to same before allowing them to use the computer to view Web sites on the Internet. Alternatively, if you have the legal right to accept this Agreement on behalf of one or more users of the computer on which you have caused the Licensed Materials to reside, then you hereby accept this EULA on behalf of all such other users. Also, you agree not to use the Licensed Materials, in a manner prohibited by law, or in violation of any contractual provision by which you are bound. You agree to comply with all applicable laws, rules and regulations in your use of the Licensed Materials. Access and Interference. You agree that you will not use, or encourage others to use, any unauthorized means for the removal of the Licensed Materials from a computer. You agree not to use any means to avoid the display of ad messaging from the AdIntelligence Network while the Licensed Materials are installed on your computer. Voluntary Software and Right to Remove. You understand that the presence of the Licensed Materials on any computer is voluntary and you may remove it from your computer at any time. To stop receiving advertising from AdIntelligence LLC, the Licensed Materials must be removed. Please note that removing the Licensed Materials does not necessarily remove any Enhancement Technologies (as described above). Termination. This Agreement may be terminated at any time, by any user, by removing the Licensed Materials from the computer and destroying any other copies of the Licensed Materials that you, the user, may have made. Links. AdIntelligence Supplied Materials that are displayed on a computer screen may contain links to web sites operated by other parties. These linked web sites are not under the control of AdIntelligence LLC, and AdIntelligence LLC is not responsible for the content available on any linked Internet sites. Unless otherwise stated, such links do not imply AdIntelligence LLC's endorsement of material on any other web site. Access to any other Internet sites, linked as herein described, is at the users' own risk. AdIntelligence LLC reserves all rights in the Licensed Materials not expressly granted to you in this Agreement. Other Restrictions. You may not rent, lend, assign, or lease Licensed Materials, but you may transfer your rights under this Agreement on a permanent basis provided (i) you transfer all copies of the Licensed Materials and this Agreement; and (ii) the recipient agrees to be bound by this Agreement. Any transfer must include the most recent version of the Licensed Materials. Prior to transferring the Licensed Materials you must remove the Licensed Materials to be transferred from your machine. Ownership. You agree that all Licensed Materials are licensed, not sold to you. You agree that the Licensed Materials belong to AdIntelligence LLC, including all intellectual and proprietary rights, unless otherwise specified. AdIntelligence LLC retains all right, title and interest in and to the Licensed Materials at all times, and regardless of the form or media in or on which the original or other copies may subsequently exist. Additionally, all content accessed through the Licensed Materials is the property of the applicable content owner and may be protected by applicable intellectual property laws. This Agreement gives you no rights to such content. Finally, any suggestions, ideas or inventions that you voluntarily and optionally disclose to us through any means will be used, or not used, by AdIntelligence LLC at AdIntelligence LLC's sole discretion; and, AdIntelligence LLC will have no obligation to you regarding any ideas or inventions that you disclose through such means. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, Protected Parties liability shall be limited to the extent permitted by law. No Protected Parties Liability. Protected Parties assume no liability hereunder for, and shall have no obligation to defend you or to pay costs, damages or attorneys' fees for, any claim arising from: (i) any method or process in which the Licensed Materials may be used by you; (ii) any results of using the Licensed Materials; (iii) any use of other than a current unaltered release of the Licensed Materials; or (iv) the combination, operation or use of any the Licensed Materials furnished hereunder with non-Licensed Materials if such infringement would have been avoided by avoidance of the combination, operation, or use of the Licensed Materials with other programs, data, or other materials. Privacy Statement and Other Policies. You agree to be bound by and comply with AdIntelligence LLC 'S Privacy Policy applicable to any Licensed Materials, and any other policies governing the use of Licensed Materials to which you have consented via click-through agreement or notice. Export Controls. AdIntelligence LLC and its underlying information and technology may not be downloaded or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Sudan, Syria or any other country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. By downloading or using AdIntelligence Software, you are agreeing to the foregoing and you represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list, and that you will otherwise comply with all applicable export control laws. Governing Law/Jurisdiction/Attorney Fees. Any claim or controversy arising out of or related to this EULA, the Licensed Materials, AdIntelligence LLC Supplied Materials, or any AdIntelligence LLC Software, shall be governed by and interpreted under and according to the laws of the State of New York, without regard to choice of law principles. All disputes arising out of this Agreement shall be brought exclusively in the state and federal courts located in New York City New York. The prevailing party in any action shall be entitled to recover its reasonable attorney fees. Successor Agreements. This Agreement may change in the future.. AdIntelligence LLC will always post its most recent Privacy Statement and End User License Agreement on the following websites: http://www.adintelligence.net/privacy.html and http://www.adintelligence.net/license.html respectively. You agree that after reading the revised Agreement, you will consent to AdIntelligence LLC's revised Agreement or you will remove all Licensed Materials from your computer, and destroy all copies of same you may have created. Failure to remove and destroy all Licensed Materials from your computer will be deemed an acceptance of the terms of AdIntelligence LLC's most current Agreement for which you have given your consent, or for which you have been given notice, as appropriate. Except as provided in this section, this Agreement may not be revised except in writing signed by all relevant parties. U.S. Government Restricted Rights. Licensed Materials are provided with Restricted Rights. Use, duplication, or disclosure by the United States Government is subject to restrictions set forth in subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at 48 C.F.R. 52.227-19, as applicable. General. This Agreement, as modified from time to time as described above, and including the policies incorporated by reference, sets forth the entire understanding and agreement between you and AdIntelligence LLC with respect to the subject matter hereof. If any provision or provisions hereof shall be held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be in any way affected or impaired thereby. AdIntelligence LLC shall not be liable for any delay or failure in performance under this Agreement or interruption of service resulting from acts of God, civil or military authority, war, labor disputes, materials provided by third parties, or any cause beyond the reasonable control of AdIntelligence LLC. Except as described herein, you may not assign this Agreement without our explicit consent. Alset reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Software (or any part thereof) with or without notice. You agree that Alset, its subsidiaries, affiliates, officers, directors, employees, shareholders, parents, agents, co-branders, licensors or other partners (The "Alset Parties") and each of them shall not be liable to you or to any third party for any modification, suspension or discontinuance of any or all of the Software. Unless explicitly stated otherwise, any new or additional features that augment or enhance the current Software, including the release of new Alset Software, or the addition of other software from third parties, shall be part of the Software and subject to the terms of this Agreement. Your Obligations In order to use the Software, you need computer equipment and a telecommunications connection to connect to and access the World Wide Web. You are solely responsible for any fees associated with such connection and access (such as those charged by an Internet Service Provider (ISP)) or other online service. Indemnity You agree to indemnify and hold each of the Alset Parties, harmless from and against any and all claims, costs, fees (including attorneys' fees), damages and expenses that such parties may incur as a result of, due to or arising out of the violation by you of the Agreement or the use or misuse of the Software by you, or the violation of any rights of another by you. No Resale Of Software The Software is provided for your personal, noncommercial use only. You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Software, use of the Software, or access to the Software. General Practices Regarding Use And Storage Alset will make commercially reasonable efforts to ensure that the quality of the Software is of at least prevailing industry standards. Alset will use all reasonable efforts to avoid interruption of the Software's operation. You acknowledge and agree that access to the Software and associated links may be unavailable from time to time for any reason, including without limitation, interruption of major network connectivity and backup and regular maintenance performed by Alset and any operators of our servers. Termination You agree that Alset, in its sole discretion, may terminate your use of the Software, including, without limitation, if Alset believes that you have violated or acted inconsistently with the letter or spirit of the Agreement. You agree that any termination of your right to use the Software under any provision of this Agreement may be effected without prior notice, and acknowledge and agree that Alset may immediately deactivate the Software. Further, you agree that no Alset Party shall be liable to you or any third party for any termination of your access to the Software. You may discontinue your use of the Software at any time. Dealings With Advertisers Your correspondence or business dealings with, participation in promotions of, or purchase of goods and/or services from advertisers or sponsors found on or through the Software, including payment and delivery of goods or Services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser(s) or sponsor(s). You agree that no Alset Party shall be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings, or as the result of the presence of such advertisers in the Software. Links Alset's provision of a link to any other Web site or location is for your convenience and does not signify Alset's endorsement of such other site or location or its contents. No ALSET PARTY SHALL BE LIABLE FOR ANY INFORMATION, SOFTWARE, OR LINKS FOUND AT ANY OTHER WEB SITE, INTERNET LOCATION, OR SOURCE OF INFORMATION, OR FOR YOUR USE OF SUCH INFORMATION. You may be subject to additional terms and conditions that may apply when you use affiliate Software, third party content or third party software accessed, used or downloaded in connection with your use of or access to the Software. The Agreement and the relationship between you and Alset shall be governed by the laws of the State of California as applied to agreements made, entered into and performed entirely in California by California residents, notwithstanding your actual place of residence. All lawsuits arising out of the Agreement or out of your use of the Software shall be brought in the Federal or state courts located in Santa Clara County, California and you and Alset hereby irrevocably submit to the personal jurisdiction of such courts for such purpose. The failure of Alset to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision. If any provision of the Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and that the other provisions of the Agreement remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Software or the Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in the Agreement are for convenience only and have no legal or contractual effect. Survival The terms of Sections 4, 5, 8, 9 and 11 through 15 as well as any other limitations on liability explicitly set forth herein shall survive the expiration or earlier termination of the Agreement for any reason. Alsets (and its licensors) proprietary rights (including any and all intellectual property rights) in and to the Content, the Software, the Software and this Web site shall survive the expiration or earlier termination of this Agreement for any reason.
